These Terms of Service (“Terms”) govern access to and use of DelightLoop’s websites, software platform, managed campaign services, gifting, direct-mail, fulfillment, personalization, enrichment, and related offerings (collectively, the “Services”).
These Terms are entered into between DelightLoop, Inc. (“DelightLoop,” “we,” “us,” or “our”) and the person or entity using or purchasing the Services (“Customer,” “you,” or “your”). If you use the Services for an organization, you represent that you have authority to bind that organization.
By accessing the Services, accepting an Order Form that references these Terms, clicking to accept, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Orders and order forms
1.1 Order Forms. Customer may purchase Services through an ordering document, invoice, statement of work, online checkout, or other order accepted by DelightLoop (each, an “Order Form”). Each accepted Order Form is incorporated into these Terms.
1.2 Order Details. An Order Form may specify products, campaign scope, quantities, recipients, unit prices, subscription or service term, usage limits, delivery assumptions, fees, and payment terms.
1.3 Order of Precedence. If an Order Form conflicts with these Terms, the Order Form controls only for that Order and only to the extent of the conflict. Any data processing addendum controls for the processing of Personal Data.
1.4 Purchase Orders. Customer purchase orders are for administrative convenience only. Additional or conflicting terms in a purchase order, vendor portal, or similar document do not modify the agreement unless DelightLoop expressly agrees in a writing signed by an authorized representative.
1.5 Acceptance and Corrections. DelightLoop may accept or reject an order and may correct typographical, calculation, availability, or pricing errors before fulfillment. If a correction materially increases an accepted Order’s total, DelightLoop will obtain Customer approval before proceeding.
2. Accounts and eligibility
2.1 Business Use. The Services are intended for business use by individuals who are at least eighteen years old.
2.2 Account Information. Customer will provide accurate and current account, billing, campaign, and contact information.
2.3 Account Security. Customer is responsible for Authorized Users, credentials, permissions, and activity occurring under its accounts. Customer must promptly notify DelightLoop of suspected unauthorized access.
2.4 Customer Systems. Customer is responsible for equipment, systems, software, connectivity, credentials, and third-party accounts needed to use the Services.
3. Access to the DelightLoop platform
3.1 Limited Right. Subject to payment and compliance with the agreement, DelightLoop grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right during the applicable service term for authorized users to access and use the DelightLoop platform solely for Customer’s internal business purposes and within the purchased limits.
3.2 Reservation of Rights. DelightLoop and its licensors retain all rights not expressly granted.
3.3 Changes. DelightLoop may improve, modify, replace, or discontinue features. During a paid term, DelightLoop will not materially reduce the core functionality purchased without providing a commercially reasonable alternative or remedy.
3.4 Suspension. DelightLoop may suspend access or fulfillment if reasonably necessary to address nonpayment, suspected fraud, security threats, unlawful activity, misuse, a legal requirement, harm to a recipient or third party, or material breach. DelightLoop will use reasonable efforts to limit the scope and duration where practicable.
4. Managed campaign services
4.1 Scope. DelightLoop may provide campaign strategy, configuration, personalization, landing pages, recipient experiences, enrichment, address confirmation, gifting, letter nudges, direct mail, fulfillment coordination, analytics, and customer success services as described in an Order Form.
4.2 Customer Approvals. Customer controls its target recipients, content, offers, gifts, channels, budgets, and campaign launch decisions. DelightLoop may rely on instructions and approvals from Customer’s designated personnel.
4.3 Customer Dependencies. Customer will timely provide accurate data, content, brand materials, gift selections, access, approvals, and decisions required to perform the Services.
4.4 Timing. Campaign and delivery dates are estimates and depend on Customer cooperation, data readiness, inventory, personalization requirements, recipients, carriers, and third-party services.
4.5 No Guaranteed Outcome. DelightLoop does not guarantee delivery, opens, clicks, opt-ins, responses, RSVPs, attendance, meetings, opportunities, pipeline, revenue, conversion, or return on investment.
5. Letter nudges, gifts, shipping, and fulfillment
5.1 Committed Quantities. Quantities stated in an Order Form are committed quantities unless the Order Form expressly provides otherwise.
5.2 Included Costs. A unit price includes only the products and standard postage, shipping, handling, or fulfillment components expressly identified as included in the Order Form.
5.3 Excluded Charges. Unless expressly included, Customer is responsible for taxes, duties, customs, expedited delivery, international or remote-area surcharges, address corrections, returns, re-routing, replacements, storage, special packaging, premium personalization, and additional carrier or vendor charges.
5.4 Production and Procurement. Once DelightLoop or its supplier begins procurement, production, printing, personalization, postage purchase, kitting, or fulfillment, the affected order is non-cancellable and non-refundable.
5.5 Inventory and Substitutions. Products and packaging are subject to availability. DelightLoop may offer a substantially similar substitute if an item becomes unavailable. A material price or product change requires Customer approval.
5.6 Delivery. Delivery dates are estimates. DelightLoop is not responsible for delays, loss, damage, theft, refusal, or non-delivery caused by inaccurate addresses, recipients, carriers, customs, weather, force majeure, or other circumstances outside DelightLoop’s reasonable control.
5.7 Risk of Loss. Title to and risk of loss for physical products pass to Customer when the products are tendered to the carrier, except as otherwise required by law or expressly stated in an Order Form.
5.8 Undeliverable and Returned Items. Customer is responsible for charges associated with undeliverable, refused, returned, re-routed, replacement, or re-shipped items. DelightLoop is not required to refund the product, postage, or fulfillment cost.
5.9 Recipient Choice and Opt-In. Certain campaigns may permit recipients to choose a gift or confirm a delivery address. Recipient choice, response, and redemption are voluntary, and unredeemed offers have no cash value unless the Order Form states otherwise.
5.10 Restricted Items and Destinations. DelightLoop may refuse or cancel shipment of regulated, restricted, unsafe, sanctioned, age-controlled, or legally prohibited products or shipments.
5A. Sending domains and email accounts
5A.1 Provisioning. Where an Order Form includes sending domains or email accounts (“Sending Infrastructure”), DelightLoop will register and administer them on Customer’s behalf solely to perform the Services for Customer. DelightLoop will not use Sending Infrastructure for any other customer or purpose, or sell, lease, or transfer it to any third party.
5A.2 Sender Identities. Email accounts may use sender names created for outreach. Customer will approve sender names and message content before use. Messages must accurately identify Customer as the sender and include a valid postal address and a working unsubscribe mechanism. Use of such sender names in accordance with this Section is not impersonation under Section 10. Customer remains responsible for compliance under Section 11.
5A.3 Deliverability. New email accounts require a warm-up period. DelightLoop does not guarantee inbox placement, deliverability, or response rates.
5A.4 Renewal. Sending Infrastructure is billed annually and renews as stated in the Order Form.
5A.5 Transfer. On Customer’s written request during the term, or within thirty (30) days after expiration or termination, and provided all undisputed amounts are paid, DelightLoop will within ten (10) business days transfer the domains to a registrar account designated by Customer and transfer or export the contents of the email accounts, subject to the fees stated in the Order Form and the registrar’s rules. Sections 9.6 and 18.5 do not limit this right.
5A.6 Lapse and Deletion. If Customer neither renews nor requests a transfer, DelightLoop may allow the domains to lapse and permanently delete the email accounts and their contents thirty (30) days after notifying Customer.
5A.7 Security. DelightLoop will store Sending Infrastructure credentials securely, with multi-factor authentication, and limit access to personnel who need it to perform the Services.
6. Fees, payment, and taxes
6.1 Fees. Customer will pay all fees and expenses described in an Order Form or these Terms, including AI Credits under Sections 6.10 to 6.14 and deposits under Section 6.8. Unless stated otherwise, fees are in U.S. dollars.
6.2 Payment Terms. Payment is due according to the Order Form. If the Order Form is silent, invoices are due within thirty days of the invoice date.
6.3 Non-Cancellable and Non-Refundable. Except as expressly stated in an Order Form or these Terms, payment obligations are non-cancellable and fees paid or committed are non-refundable.
6.4 Additional Quantities and Costs. Units fulfilled above an Order quantity, and expenses described in an Order Form or these Terms (including AI Credits under Sections 6.10 to 6.14), may be invoiced at the applicable unit price or DelightLoop’s then-current rate.
6.5 Late Amounts. Undisputed overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum lawful rate. Customer will reimburse reasonable collection costs. Customer must notify DelightLoop of a good-faith invoice dispute before the due date and pay undisputed amounts on time.
6.6 Taxes. Fees exclude sales, use, value-added, goods-and-services, excise, and similar transaction taxes, which Customer is responsible for paying, excluding taxes based on DelightLoop’s net income.
6.7 No Setoff. Customer may not withhold, offset, or deduct amounts owed except as required by law.
6.8 Deposits. Where an Order Form requires a deposit for pass-through costs such as international shipping, duties, or taxes, DelightLoop will reconcile actual costs after fulfillment and invoice any shortfall or credit any excess to Customer. This is an exception to Section 6.3.
6.9 Payment Processing Fees. Payments by credit card may incur a processing fee as stated in the Order Form, not exceeding DelightLoop’s cost and only where permitted by law.
6.10 AI Credits. Certain Services, including data enrichment, consume credits (“AI Credits”). AI Credits are charged at DelightLoop’s then-current rates, which may change from time to time, including when third-party provider pricing changes. The rate applied is shown on the relevant invoice or usage summary.
6.11 Billing. Unless the Order Form states otherwise, AI Credits used in managed services are invoiced in arrears based on actual usage, with a usage summary, and do not require prior approval.
6.12 Charging Basis. AI Credits are charged only when a lookup returns a result. No AI Credits are charged for lookups that return no result.
6.13 Prepaid Credits and Wallet. Prepaid AI Credits and prepaid balances held in Customer’s DelightLoop wallet (“Wallet Balance”) do not expire and are non-refundable, except as stated in an Order Form. Funds reserved for sends that do not go out are returned to the Wallet Balance.
6.14 Results. Enrichment results are provided as described in Section 15.3, and Customer’s review obligations in Section 11.3 apply.
7. Customer data and recipient information
7.1 Customer Data. “Customer Data” means data, recipient and account lists, addresses, content, trademarks, instructions, records, and other materials submitted by or for Customer.
7.2 Ownership and License. Customer retains ownership of Customer Data. Customer grants DelightLoop and its service providers a worldwide, non-exclusive, royalty-free right to host, copy, transmit, display, modify, and process Customer Data as necessary to provide, secure, support, administer, and improve the Services in accordance with the agreement.
7.3 Customer Authority. Customer represents that it has all rights, notices, permissions, consents, and lawful bases necessary for DelightLoop to process Customer Data and execute Customer’s instructions.
7.4 Accuracy. Customer is responsible for the accuracy, completeness, legality, and source of Customer Data, including names, mailing addresses, contact information, preferences, and suppression lists.
7.5 Address Information. Customer will not instruct DelightLoop to obtain or use personal delivery addresses unlawfully. When required by law, Customer policy, or DelightLoop’s reasonable determination, DelightLoop may require a recipient opt-in or address-confirmation workflow.
7.6 Sensitive Data. Customer will not submit protected health information, payment-card data, government identification numbers, biometric data, children’s data, passwords, or other specially regulated data unless DelightLoop expressly agrees in writing.
7.7 Data Processing Addendum. If DelightLoop processes Personal Data on Customer’s behalf, DelightLoop’s applicable Data Processing Addendum is incorporated into the agreement.
7.8 Aggregated Data. DelightLoop may generate and use aggregated or de-identified statistics and insights that do not identify Customer or any individual.
7.9 Model Training. DelightLoop will not sell Customer Data or use identifiable Customer Data to train a general-purpose model for the benefit of other customers unless Customer expressly agrees in writing. DelightLoop may use de-identified data, operational telemetry, feedback, and security information to improve the Services.
7.10 Data Export and Deletion. Following expiration or termination, Customer may request export of Customer Data then available in the platform within thirty days. DelightLoop may thereafter delete Customer Data subject to legal obligations, the applicable data processing addendum, and routine backup cycles. Shipment and tracking data is retained for thirty (30) days after delivery and then deleted. Customer may request an export before deletion.
8. Privacy and security
8.1 Privacy. DelightLoop’s Privacy Policy explains how it collects and uses information in connection with its websites and Services.
8.2 Safeguards. DelightLoop will maintain commercially reasonable administrative, technical, and organizational safeguards designed to protect Customer Data within DelightLoop’s control.
8.3 No Absolute Security. No service can guarantee complete security. Customer is responsible for configuring its access, permissions, and integrations appropriately.

9. Intellectual property
9.1 DelightLoop Technology. DelightLoop and its licensors own the platform, software, APIs, source code, algorithms, AI agents, models, prompts, workflows, automations, templates, campaign frameworks, methodologies, user interfaces, analytics designs, documentation, configurations, improvements, and related technology (“DelightLoop Technology”).
9.2 No Transfer. Providing Services, configurations, outputs, reports, landing pages, or deliverables does not transfer ownership of DelightLoop Technology.
9.3 No Work Made for Hire. DelightLoop Technology, platform configurations, templates, workflows, methods, and improvements are not works made for hire or commissioned intellectual property owned by Customer.
9.4 Customer Materials. Customer retains ownership of its trademarks, content, and Customer Data. The license in Section 7.2 includes use of Customer’s names, trademarks, logos, and signatures in campaign materials and Sending Infrastructure to provide the Services.
9.5 Outputs. Subject to payment and applicable law, Customer may use final outputs created specifically for Customer for its internal business and marketing purposes. Customer’s rights exclude DelightLoop Technology embedded in, used to generate, or required to operate an output.
9.6 Platform-Hosted Experiences. Personalized surfaces, workflows, configurations, dashboards, and automations may function only within the DelightLoop platform. Rights in Customer content do not require DelightLoop to continue hosting or provide platform functionality after the applicable term.
9.7 Feedback. DelightLoop may use suggestions, ideas, and feedback without restriction, attribution, or payment, provided it does not identify Customer or disclose Customer Confidential Information.
10. Prohibited use
Customer will not, and will not permit anyone to: (a) copy, sell, resell, sublicense, rent, lease, distribute, frame, or mirror the Services; (b) reverse engineer, decompile, disassemble, or attempt to discover source code, nonpublic models, prompts, or algorithms except where such restriction is prohibited by law; (c) create derivative works of the platform; (d) remove proprietary notices; (e) use the Services to build, train, benchmark for publication, or support a competing service; (f) bypass security or usage controls; (g) conduct unauthorized penetration or vulnerability testing; (h) introduce malware or materially disrupt the Services; (i) scrape or systematically extract data without permission; (j) impersonate another person; (k) send unlawful, deceptive, abusive, discriminatory, infringing, or unauthorized communications or gifts; (l) violate sanctions, anti-bribery, gift, privacy, marketing, postal, or other applicable laws; or (m) use the Services beyond purchased limits.
11. Customer compliance responsibilities

13.1 Confidential Information. “Confidential Information” means nonpublic information disclosed by one party to the other that is marked confidential or reasonably should be understood as confidential, including Customer Data, pricing, software, security information, product plans, methods, and business strategies.
13.2 Protection and Use. The receiving party will use Confidential Information only to exercise rights and perform obligations under the agreement, protect it with at least reasonable care, and disclose it only to personnel, advisers, contractors, and service providers with a need to know and confidentiality obligations.
13.3 Exclusions. Confidential Information excludes information the receiving party can document is public without breach, was lawfully known without restriction, was lawfully received from a third party without confidentiality duty, or was independently developed without use of Confidential Information.
13.4 Required Disclosure. A receiving party may disclose Confidential Information when legally required, provided it gives notice when lawful and reasonable assistance, at the disclosing party’s expense, in seeking protection.
13.5 Duration. These obligations continue for five years after disclosure. Trade-secret obligations continue while the information qualifies as a trade secret.
14. Availability, support, and changes
14.1 Availability. DelightLoop will use commercially reasonable efforts to make the platform and Services available, excluding maintenance, Third-Party Product interruptions, and circumstances outside DelightLoop’s reasonable control.
14.2 Maintenance. DelightLoop may perform scheduled or emergency maintenance.

15. Warranties and disclaimers
15.1 Authority. Each party represents that it has authority to enter into the agreement.
15.2 Services Warranty. DelightLoop warrants that paid managed services will be performed in a professional and workmanlike manner. Customer must report a material breach within fifteen days after performance. DelightLoop’s sole obligation and Customer’s exclusive remedy is reperformance of the affected services or, if DelightLoop determines reperformance is not commercially reasonable, a refund of fees paid for the specific materially nonconforming services.
15.3 Disclaimer. EXCEPT FOR THE EXPRESS WARRANTY ABOVE, THE SERVICES, DELIGHTLOOP TECHNOLOGY, THIRD-PARTY PRODUCTS, GIFTS, DATA, ENRICHMENT, DELIVERABLES, AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, DELIGHTLOOP DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.
15.4 No Uninterrupted Operation. DelightLoop does not warrant that the Services will be uninterrupted, error-free, secure from every threat, or compatible with every Customer or third-party system.
15.5 Products. Manufacturer warranties, if any, are provided solely by the manufacturer. DelightLoop makes no additional warranty regarding third-party products or gifts.
16. Indemnification
16.1 By Customer. Customer will defend, indemnify, and hold harmless DelightLoop, its affiliates, and their personnel from third-party claims, investigations, demands, fines, penalties, losses, and expenses arising from: (a) Customer Data; (b) Customer’s target lists, campaigns, content, offers, gifts, instructions, or products; (c) Customer’s violation of law or the agreement; (d) Customer’s failure to obtain required rights, permissions, notices, approvals, or consents; (e) an Authorized User; or (f) a third-party product enabled or supplied by Customer.
16.2 Platform IP Claims. 16.3 Exclusions. DelightLoop has no obligation for claims arising from Customer Data, Customer specifications, physical products, Third-Party Products, unauthorized modifications, combinations not supplied by DelightLoop, use contrary to the agreement, or continued use after DelightLoop provides a noninfringing replacement.
16.4 Remedies. DelightLoop may obtain continued use rights, modify or replace an affected item, or terminate the affected Service and refund prepaid fees allocable to the unused affected Service.
16.5 Procedure. The indemnified party will provide prompt notice, reasonable cooperation at the indemnifying party’s expense, and control of the defense and settlement. A settlement may not admit fault by or impose nonmonetary obligations on the indemnified party without consent.
17. Limitation of liability
17.1 Excluded Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, DELIGHTLOOP AND ITS AFFILIATES, LICENSORS, SUPPLIERS, AND PERSONNEL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY, ANTICIPATED SAVINGS, OR DATA, EVEN IF ADVISED OF THEIR POSSIBILITY.
17.2 Liability Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, DELIGHTLOOP’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER TO DELIGHTLOOP UNDER THE ORDER FORM GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS BEFORE THE EVENT FIRST GIVING RISE TO LIABILITY.
17.3 Exclusions from Customer Limitations. Any limitation applicable to Customer does not limit Customer’s payment obligations, indemnification obligations, misuse of DelightLoop Technology, breach of access restrictions, fraud, willful misconduct, or liabilities that cannot lawfully be limited.
17.4 Allocation. The limitations apply regardless of legal theory and even if a remedy fails of its essential purpose. Prices reflect this allocation of risk.
18. Term, termination, and effect
18.1 Term. These Terms remain effective while Customer accesses or uses the Services. Each Order Form remains effective for its stated term.
18.2 No Automatic Renewal Unless Stated. An Order Form does not automatically renew unless it expressly provides for renewal.
18.3 Termination for Cause. Either party may terminate an affected Order Form for the other party’s material breach if not cured within ten days after written notice. DelightLoop may immediately suspend or terminate for unlawful activity, security or reputational risk, misuse, insolvency, or Customer’s breach of payment, data, compliance, or access restrictions.

Unused prepaid AI Credits and Wallet Balance are not refunded. Data export and deletion are governed by Section 7.
18.6 Survival. Payment, ownership, confidentiality, disclaimers, indemnification, liability, Sections 5A.5 and 5A.6, and other provisions intended by their nature to survive will survive expiration or termination.
19. Electronic communications and signatures
Customer consents to electronic communications, contracts, orders, invoices, notices, and records. Electronic signatures and electronic acceptance have the same effect as originals to the extent permitted by law.
20. Publicity
DelightLoop may identify Customer by name and logo as a customer in customer lists, websites, presentations, and marketing materials, subject to Customer’s published brand guidelines.
